1. Scope and authority
This Creator and Channel Owner Agreement supplements the Platform Terms whenever a person or organization creates, administers, supplies content to, or earns money through a channel on OTT Platform. It is a development draft pending counsel approval.
The person accepting represents that the channel owner is accurately identified, is legally able to contract, and has authorized that person to bind it. Channel team permissions do not make individual team members parties to viewer sales unless checkout expressly says otherwise.
2. Independent business
The channel owner operates an independent media business. It controls editorial choices, release schedules, prices, offers, sponsors, customer promises, and legal compliance. The parties are independent contractors. This Agreement does not create employment, agency, partnership, franchise, fiduciary, or joint-venture duties.
The channel owner must obtain its own legal, tax, accounting, insurance, licensing, accessibility, and regulatory advice. Platform tools and templates are operational aids, not professional advice or a representation of compliance.
3. Ownership and platform license
As between the parties, the channel owner retains ownership of content it submits. The channel owner grants the platform operator and its service providers a non-exclusive, worldwide, royalty-free license during the Agreement and a reasonable wind-down period to host, store, reproduce, transcode, encode, encrypt, package, adapt for technical formats, caption, translate when requested, distribute, publicly perform and display, promote within the channel, and otherwise process the content solely to provide, secure, support, market, and improve the channel and Service.
The license includes the right to create thumbnails, previews, clips, manifests, search indexes, backups, and accessibility derivatives. It does not transfer ownership or authorize unrelated sale of the content. Promotional use outside the channel must follow the channel owner's settings or separate written approval, except that platform screenshots and channel names may be used in private sales demonstrations and operational records.
4. Rights clearances and warranties
The channel owner represents and warrants that it owns or has secured all rights, licenses, permissions, releases, notices, and consents needed for each use enabled through the Service, in every territory and during every availability window it selects.
- Copyright in video, photography, graphics, scripts, artwork, archives, clips, broadcasts, software, and written materials.
- Synchronization, public-performance, mechanical, and master-use rights for music and recordings.
- Name, likeness, voice, performance, publicity, privacy, interview, testimonial, location, venue, league, event, and rebroadcast rights.
- Parent or guardian permission and labor, education, and welfare compliance for minors.
- Trademark, trade dress, sponsor, guild, union, residual, collective-bargaining, and third-party platform rights.
- Permissions necessary to generate, edit, publish, translate, caption, dub, summarize, clip, advertise, and monetize the content.
5. Editorial and compliance duties
The channel owner is responsible for factual accuracy, classifications, warnings, age suitability, releases, corrections, advertising disclosures, contest rules, accessibility of supplied media, and compliance with laws applicable to its programming. It must promptly correct or remove content that no longer has valid rights or contains a material legal or safety issue.
Automated titles, summaries, chapters, thumbnails, translations, transcripts, captions, and metadata are drafts. The channel owner must review them before publication and remains responsible for the published result.
6. Uploads, live events, and security
- Do not upload malware, corrupted files, unlawful surveillance, hidden trackers, or content that violates the Acceptable Use Policy.
- Protect stream keys, playback credentials, signing material, operator accounts, and unreleased content.
- Use rehearsal and monitoring tools for live events and maintain a reasonable backup and incident plan.
- Do not use the Service for emergency communications or programming where a delay or interruption could cause physical harm.
- Preserve source masters and rights records; the Service is not an archival master-storage guarantee.
7. Viewer commerce and Stripe Connect
Unless a checkout page expressly identifies the platform operator or another party as seller, the channel owner is the merchant and seller of record for subscriptions, pay-per-view access, event access, gifts, and other viewer purchases. Viewer charges are intended to be direct charges on the channel owner's Stripe connected account.
Bad Burrito Productions, INC will retain the application-fee percentage assigned to the channel owner's current operator plan: 8% for Launch, 4% for Growth, and 2% for Network. The fee applies to the gross amount collected for each viewer charge, including initial and renewal subscription charges and other paid viewer access. Stripe's processing fees and any other payment-provider charges are deducted from the channel owner's proceeds. The channel owner absorbs those charges, and they do not reduce the platform's application fee.
The channel owner authorizes the platform and Stripe to create and administer connected-account onboarding, checkout, subscriptions, application fees, refunds, disputes, payout status, and related records as needed to provide the Service. Stripe independently collects regulated identity, bank, and card information under its terms.
Between the channel owner and Bad Burrito Productions, INC, the channel owner is responsible for every refund, dispute, chargeback, fraud loss, tax, penalty, negative balance, reserve, provider fee, and recovery cost attributable to its channel or viewer transactions. This allocation applies even if Stripe first debits, reserves against, withholds from, or seeks recovery from the platform or another account. The channel owner must promptly reimburse Bad Burrito Productions, INC and authorizes recovery from available proceeds to the extent permitted by the agreements and applicable law.
- Maintain an eligible, accurate, compliant Stripe account and complete verification.
- Keep identity, business, bank, product, and customer-support information accurate; avoid restricted businesses and products; monitor for fraud; and cooperate with underwriting, reserves, payout holds, and risk reviews.
- Set lawful prices, renewal terms, descriptions, trial conditions, availability, and refund promises.
- Pay taxes, royalties, residuals, refunds, disputes, chargebacks, penalties, and negative balances allocated to the channel owner.
- Pay and absorb Stripe processing, payment-method, currency-conversion, cross-border, dispute, chargeback, refund, and other provider fees allocated to the connected account.
- Pay and absorb Stripe Radar charges attributable to the connected account. During the platform acknowledgement completed September 12, 2026, Stripe displayed Radar Pro pricing of $0.09 per screened transaction plus $5.00 per connected account; current Stripe pricing controls and may change.
- Authorize reasonable reserves, offsets, payout delays, or feature restrictions when required for disputes, refunds, fraud, law, or provider rules.
- Monitor Stripe and platform notices, notify authorized personnel when risk action affects the account, and promptly supply information needed to support or remediate the channel owner.
- Do not instruct the platform to grant access based solely on an unverified browser redirect or off-platform payment claim.
8. Platform fees, taxes, and records
Unless a signed order form expressly states otherwise, Launch is $499 per month plus a $2,500 one-time setup fee and permits two named operator accounts; Growth is $1,250 per month plus a $7,500 one-time setup fee and permits five named operator accounts; and Network is $4,000 per month plus a $20,000 one-time setup fee with the operator-user allowance stated in its order form. The channel owner account counts toward the allowance; viewer accounts do not.
Operator accounts must be assigned to individual people and may not be shared. Each named operator account may maintain no more than 1 active computer or browser session at a time; a new sign-in replaces and invalidates the prior active session.
Platform subscription fees are billed monthly in advance and automatically renew until canceled. Cancellation takes effect at the end of the then-current paid billing period unless a signed order form or applicable law requires otherwise. Except where required by law or expressly stated, platform subscription fees are non-refundable once the applicable service period begins.
The platform application fee is 8% for Launch, 4% for Growth, and 2% for Network, calculated from the gross amount collected for each viewer charge. The channel owner receives the remaining proceeds after the platform application fee, Stripe fees, refunds, disputes, taxes, reserves, and other applicable adjustments. Treatment of the platform application fee after a refund, reversal, or chargeback will follow the applicable order form, Stripe configuration, and law.
The channel owner is responsible for determining registration, collection, invoicing, reporting, and remittance obligations for sales, use, value-added, entertainment, gross-receipts, withholding, and similar taxes arising from its viewer sales and business. Automatic tax is not a substitute for professional advice and must not be enabled until configuration and responsibility are approved.
Each party will maintain reasonably complete transaction and acceptance records. Financial reports and analytics are operational estimates unless expressly identified as a finalized settlement statement.
9. Viewer data and privacy roles
The platform operator processes viewer data to provide shared account, security, commerce, playback, analytics, support, and legal functions. A channel owner may act as an independent business or controller for data it receives and for communications, audience management, offers, sponsors, integrations, or exports it directs. Counsel must confirm role allocation and any required data-processing addendum before production.
- Use viewer data only for disclosed channel purposes and lawful instructions.
- Do not sell viewer data, combine it into undisclosed profiles, expose viewing history, or send it to ad-tech providers without a documented lawful basis and required consent.
- Honor privacy, deletion, correction, access, opt-out, and communication requests assigned to the channel owner.
- Apply reasonable access controls, retention limits, confidentiality, breach response, and vendor diligence.
- Do not export or contact viewers merely because platform permissions technically allow access.
10. Sponsors, endorsements, and promotions
The channel owner is responsible for sponsor contracts, substantiation, disclosures, creative approvals, regulated-category compliance, invoicing, make-goods, and taxes. Sponsorship tools report platform-observed delivery and do not guarantee impressions, clicks, sales, brand safety, exclusivity, or regulatory compliance.
Paid relationships and affiliate interests must be disclosed clearly and conspicuously in the content and placement, including repeated disclosures where reasonably necessary during live programming.
11. Moderation, claims, and takedowns
The channel owner must maintain a monitored contact for viewer, safety, rights, accessibility, and billing issues. It authorizes the platform to forward complaints and disclose relevant contact and account information when lawful and reasonably necessary to resolve a claim.
We may disable, preserve, geoblock, demonetize, or remove content; pause a live stream; withhold disputed payouts; or suspend accounts in response to credible claims, legal process, provider rules, security issues, or policy violations. The channel owner will reasonably cooperate with notice, counter-notice, investigation, preservation, and appeal processes.
12. Service levels, storage, and analytics
No service level applies unless stated in a signed order form. Processing, migration, search, captioning, analytics, delivery, live, email, push, payment, and app-distribution features depend on third parties and may be delayed or unavailable.
Analytics may contain bots, blocked signals, late events, estimation, attribution limits, and provider discrepancies. The channel owner must not use them as the sole basis for royalties, regulated reporting, safety decisions, or audited financial statements.
13. Insurance and indemnification
The channel owner will maintain insurance reasonably appropriate to its activities, which may include commercial general liability, media/errors-and-omissions, cyber/privacy, workers' compensation, event, and umbrella coverage. On reasonable request for higher-risk programming, it will provide evidence of coverage.
To the extent permitted by law, the channel owner will defend, indemnify, and hold harmless the platform parties from third-party claims and related losses arising from its content, rights failures, channel business, viewer promises, taxes, sponsors, products, events, data use, personnel, payment activity, fraud, negative balances, provider recovery, legal violations, or breach of this Agreement. Defense and settlement are subject to the controls in the Platform Terms.
14. Term, suspension, and exit
This Agreement begins when accepted and continues until terminated. Either party may terminate according to an order form or, absent one, on written notice. We may immediately restrict or terminate for material breach, unlawful conduct, security risk, nonpayment, provider disqualification, insolvency, sanctions, repeated infringement, or urgent harm.
Before ordinary termination, the channel owner should export available data and content. After termination, viewer access may end, active subscriptions may need cancellation or migration, and we may delete content according to the retention schedule. We may retain transaction, consent, security, tax, dispute, rights, and backup records as legally or operationally necessary.
15. Confidentiality
Each party will protect the other's nonpublic business, security, technical, viewer, pricing, and rights information with at least reasonable care and use it only for the relationship. Confidential information excludes information lawfully public, already known without restriction, independently developed, or rightfully obtained from another source.
A party may disclose information when legally required after giving notice where lawful and reasonably assisting with protective treatment. Confidentiality does not restrict lawful security reporting or protected whistleblowing.
16. General terms
The Platform Terms' disclaimers, liability limits, dispute provisions, and general terms apply. A signed order form or negotiated master agreement controls over this Agreement for the same subject. The channel owner may not transfer a channel, connected account, viewer relationship, or agreement without prior approval and required user notices.
